1. Acceptance of Terms

By accessing and using Mega Orbit's services, including our website, Venture Readiness Audit (VRA), consulting services, and digital products, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Mega Orbit provides venture building services, including but not limited to:

Venture Readiness Audit (VRA) - Free, Pro ($297), and Premium ($997) tiers
30-Day Launch Program ($15,000-$30,000)
Mission Control Ongoing Support ($5,000/month)
Digital Products (SOP Packs, AI Prompt Libraries, Bundles)
Strategy Sessions and Consulting

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding agreements to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Account Registration

Some services may require you to create an account. You agree to:

Provide accurate, current, and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

5. Payment Terms

For paid services:

Payment is due upfront unless otherwise agreed in writing
We accept major credit cards via Stripe
All fees are in USD unless stated otherwise
Recurring services (Mission Control) bill monthly in advance
Failed payments may result in service suspension

6. Refund Policy

Our refund policy varies by service tier:

VRA Pro ($297): 90-day ROI guarantee - find $5,000+ in operational savings or your money back
VRA Premium ($997): 90-day ROI guarantee - find $12,000+ in operational savings or we work free until you do
Digital Products (SOP Packs, AI Prompts, Bundles): 30-day money-back guarantee - if not satisfied, request a full refund within 30 days of purchase
30-Day Launch Program: Custom terms outlined in service agreement
Mission Control: Cancel anytime with 30-day notice; no refunds for partial months
Strategy Session ($697): If you don't receive a clear, actionable roadmap by the end of our session, we'll refund your payment in full

7. Intellectual Property

All content, materials, and intellectual property provided by Mega Orbit (including SOPs, frameworks, methodologies, and digital products) remain our property. You receive a limited, non-exclusive, non-transferable license to use these materials for your business purposes only. Redistribution, resale, or sharing with third parties is prohibited.

8. Client Deliverables

For 30-Day Launch and custom build projects:

You own all custom code, designs, and deliverables created specifically for your project upon full payment
Mega Orbit retains the right to use general methodologies, frameworks, and pre-existing IP
Third-party tools, APIs, and services remain subject to their respective licenses

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business strategies, financial data, customer information, and trade secrets. This obligation survives termination of services.

10. Disclaimers

Mega Orbit provides services on an "as is" and "as available" basis. We do not guarantee:

Specific revenue outcomes or business success
Uninterrupted or error-free service
That defects will be corrected
That our services are free from viruses or harmful components

While we strive for excellence, business outcomes depend on many factors beyond our control.

11. Limitation of Liability

To the maximum extent permitted by law, Mega Orbit's total liability for any claims arising from our services shall not exceed the total amount you paid to us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

12. Indemnification

You agree to indemnify and hold harmless Mega Orbit, its founders, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to our services at our sole discretion, with or without cause, with or without notice. Upon termination, your right to use our services ceases immediately, but payment obligations survive.

Important Notice: The Venture Readiness Audit (VRA) and all Mega Orbit services, content, and materials are provided for educational and informational purposes only. They do not constitute:

Financial, legal, or tax advice
Investment recommendations or securities advice
Business valuation services
Guarantees of funding, revenue, or business success

The vast majority of new ventures do not achieve significant revenue or funding. By using our services, you acknowledge that there are no guarantees of success, and you assume all risks associated with starting and operating a business.
